Terms of Service

1. General
These Terms of Service ("Terms") constitute a binding legal agreement between you ("User" or "Customer") and Neural:IO Labs ("Provider"). By downloading, installing, or using the Neural:IO software ("Software"), you agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the Software.
2. License Models and Usage Rights
The Software is available under two distinct license models, each with specific rights and technical restrictions:
A. Enterprise License (Paid)
- Permitted Use: Commercial use, product development, and production workloads.
- Connectivity: Offline use supported (No internet connection required).
- Restriction: The license is Node-Locked. The Software may only be executed on the specific hardware cluster or devices registered with the Provider.
B. Education License (Free)
- Permitted Use: Strictly limited to non-commercial academic research or personal study.
- Connectivity: Requires an active internet connection for license validation ("Heartbeat").
- Prohibition: Use by private companies, startups, government agencies (excluding universities), or for any project intended for commercial gain is strictly prohibited.
3. Penalty for Misuse (Liquidated Damages)
The User acknowledges that unauthorized commercial use of the Education License causes significant economic harm to the Provider.
If the User is found to be using the Education License for commercial purposes, or attempting to bypass license validation mechanisms, the User agrees to pay the Provider a contractual penalty (liquidated damages) equal to:
- Ten times (10x) the standard Enterprise License fee for the duration of the misuse; or
- Fifty Thousand Euros (€50,000);
whichever is greater. This penalty does not limit the Provider's right to claim further damages for actual losses incurred.
4. No Reverse Engineering
The Software contains trade secrets and proprietary technology owned by the Provider. The User shall not:
- Decompile, disassemble, reverse engineer, or attempt to derive the source code of the Software binaries.
- Attempt to bypass, modify, or tamper with license key validation, timestamp checks, or network verification protocols.
- Alter or falsify billing reports or logs generated by the Software.
Any attempt to breach the Software's security mechanisms will result in the immediate termination of all license rights.
5. Limitation of Liability
The Software is provided "AS IS", without warranty of any kind. As the Software is designed for high-performance computing on experimental hardware (e.g., NVIDIA H100), the Provider does not warrant that the Software will be error-free.
- The Provider shall not be liable for any indirect, special, incidental, or consequential damages, including but not limited to loss of data, loss of compute time, hardware failure, or loss of profits.
- The Provider's total liability shall be limited to the amount actually paid by the Customer for the Software during the twelve (12) months preceding the claim.
- For Education License users, the Provider's liability is €0.
6. Audit Rights
The Provider reserves the right to audit the Customer's reported savings metrics and license usage.
Enterprise Customers agree to provide cryptographically signed usage reports
(python -m neuralio billing) upon request to verify billing accuracy.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Finland. Any disputes arising out of or relating to these Terms shall be resolved in the District Court of Helsinki.
